Terms of Service
Last updated: August 27, 2026
1. Agreement
These Terms of Service ("Terms") govern access to and use of Ordvaro, including the Ordvaro website, application and related services (collectively, the "Service").
The Service is provided by KODPRENEUR DOOEL, Kiril Pejchinovikj 50, 2000 Shtip, Republic of North Macedonia ("Ordvaro", "we", "us", or "our").
By creating an account, accepting an invitation, purchasing a subscription or otherwise using the Service, you agree to these Terms. If you use Ordvaro on behalf of a company or other organization ("Customer"), you represent that you have authority to accept these Terms on its behalf.
Ordvaro is intended primarily for business and professional use.
2. The Service
Ordvaro helps Customers receive purchase orders, extract structured information from them, validate information against connected ERP data, resolve exceptions and create ERP sales orders.
The Customer's ERP remains the source of truth for ERP information. Ordvaro may provide human-review workflows and configurable automation features. The Customer controls which users may approve orders and which automation rules are enabled.
Features may change as the Service evolves.
3. Accounts and Organizations
Users must provide accurate account information and maintain the security of their login credentials. Accounts are individual and should not be shared.
Users may belong to one or more Organizations. Organization Owners and Administrators may invite or remove users and manage Organization-level settings according to the permissions available within Ordvaro.
Customers are responsible for deciding who is granted access and what permissions those users receive. You must notify us promptly if you become aware of unauthorized account access.
4. Right to use the Service
Subject to these Terms and payment of applicable fees, Ordvaro grants the Customer a limited, non-exclusive, non-transferable right to access and use the Service for its internal business operations during the applicable subscription period.
Except where applicable law provides otherwise, you may not copy or reproduce the Service outside normal permitted use, reverse engineer or attempt to derive its source code, circumvent access controls or usage restrictions, resell or sublicense access without written permission, interfere with the Service, or attempt to access another Customer's Organization or data.
5. Customer Data
As between Ordvaro and the Customer, the Customer retains ownership of purchase orders, ERP information, customer records and other information the Customer provides to Ordvaro ("Customer Data").
The Customer grants Ordvaro the limited rights necessary to host, transmit, copy, analyze and otherwise process Customer Data to provide, secure and support the Service and to comply with applicable law. Ordvaro does not acquire ownership of Customer Data.
Personal data is handled as described in our Privacy Policy and, where applicable, any separate data-processing agreement.
6. Customer responsibilities
The Customer is responsible for having the rights and lawful basis necessary to provide Customer Data to Ordvaro, ensuring the accuracy and legality of Customer Data, managing access permissions, correctly configuring ERP connections, reviewing exceptions and approvals, determining which automation rules to enable, and maintaining business controls appropriate to its operations.
The Customer must not use Ordvaro to process unlawful material or information it does not have the right to process.
7. AI-assisted extraction and automation
Ordvaro uses AI-assisted technology to extract information from purchase-order documents. AI extraction may be incomplete or inaccurate.
Ordvaro is designed so that AI extraction is followed by deterministic validation and exception handling rather than being treated as authoritative business information.
Customers remain responsible for decisions made by their users and for automation settings enabled within their Organization. No software system can guarantee that every incorrect order, price, SKU or other business issue will always be detected.
Customers should maintain controls appropriate to the financial and operational impact of orders processed through Ordvaro.
8. ERP and other third-party services
Ordvaro integrates with third-party systems, including ERP platforms and infrastructure providers. Those third-party services may be governed by their own agreements, technical limitations and availability.
Ordvaro is not responsible for an outage, API change, restriction or failure caused solely by a third-party service outside our reasonable control. Customers are responsible for maintaining the accounts, permissions and licenses required for systems they connect to Ordvaro.
9. Fees, subscriptions and billing
Subscription prices, plan limits and billing periods are displayed at purchase or separately agreed with the Customer.
Subscription purchases are processed by AgentaOS, which acts as Merchant of Record for the transaction. AgentaOS processes payment information, taxes, invoices and receipts. Ordvaro does not store full payment-card numbers.
Subscriptions renew according to the billing terms shown at purchase unless cancelled before the next renewal date. Payment transactions may also be subject to AgentaOS's applicable buyer terms.
Our Refund Policy describes Ordvaro's commercial cancellation and refund rules.
10. Usage limits
Subscription plans may include limits based on purchase-order volume or other measurable usage. Where limits apply, Ordvaro may notify the Customer as it approaches or exceeds its plan allowance.
Any upgrades, overages or plan changes will be governed by the pricing or terms presented to or separately agreed with the Customer.
11. Acceptable use
You may not use Ordvaro to violate applicable law, infringe intellectual-property or privacy rights, access another customer's data without authorization, distribute malware, probe security without authorization, interfere with the Service, circumvent billing or access restrictions, use stolen credentials, or engage in fraudulent activity.
We may suspend access where reasonably necessary to protect Ordvaro, our Customers or third parties.
12. Confidentiality
Each party may receive confidential business, technical or commercial information from the other party. Each party will use the other party's confidential information only for purposes related to the Service and will take reasonable measures to prevent unauthorized disclosure.
Customer Data is considered confidential information. Confidentiality obligations do not apply to information that becomes publicly available without breach of these Terms, was independently developed without use of confidential information, was lawfully received from another source without confidentiality restrictions, or must be disclosed by law.
13. Security
Ordvaro maintains technical and organizational measures designed to protect the Service and Customer Data. Customers remain responsible for controlling their own users, credentials, devices and ERP permissions.
If either party becomes aware of a security incident materially affecting the other's information, it should provide reasonable cooperation in addressing the incident.
14. Service availability and changes
We aim to keep Ordvaro reliable and available, but we do not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable due to maintenance, upgrades, third-party outages, emergency security work or circumstances beyond our reasonable control.
We may improve, modify, replace or discontinue features over time. Where reasonably practicable, we will provide notice if a material change significantly reduces paid functionality.
15. Suspension
We may temporarily suspend access where reasonably necessary because of non-payment, material breach of these Terms, a security threat, suspected fraud or unlawful activity, use that threatens the Service or another Customer, or a legal or regulatory requirement.
Where reasonably possible, we will provide notice and an opportunity to resolve the issue.
16. Cancellation and termination
Customers may cancel their subscription using the billing controls made available with their subscription. Unless otherwise stated at purchase, cancellation becomes effective at the end of the current paid billing period.
After cancellation or termination, access to the Service may end. Customers should export information they need before their access terminates.
We may retain or delete information as described in our Privacy Policy and according to applicable contractual or legal obligations.
Sections that by their nature should survive termination—including ownership, confidentiality, payment obligations, disclaimers, liability limitations and governing-law provisions—remain effective after termination.
17. Intellectual property
KODPRENEUR DOOEL and its licensors retain all rights in Ordvaro, including the software, source code, product design, trademarks, documentation and related intellectual property. These Terms do not transfer ownership of the Service to the Customer.
If you voluntarily provide suggestions or product feedback, you permit us to use that feedback to improve Ordvaro without compensation, provided we do not publicly identify you without permission.
18. Warranties and disclaimer
We will provide the Service with reasonable care and skill consistent with a business software service.
Except for rights that cannot lawfully be excluded, the Service is otherwise provided on an "as available" basis.
We do not warrant that Ordvaro will be uninterrupted, completely error-free, or capable of identifying every incorrect purchase order, pricing issue, ERP problem, duplicate, SKU mismatch or other business error.
The Customer is responsible for maintaining appropriate internal business controls and determining whether Ordvaro is suitable for its workflows.
19. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, business opportunity or goodwill arising from or relating to the Service.
To the maximum extent permitted by applicable law, KODPRENEUR DOOEL's total aggregate liability arising out of or relating to the Service will not exceed the fees paid or payable by the Customer for Ordvaro during the 12 months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where applicable law does not permit that liability to be excluded or limited.
20. Governing law and disputes
These Terms are governed by the laws of the Republic of North Macedonia, without regard to conflict-of-law principles.
Where legally permissible, disputes arising out of or relating to these Terms or the Service will be subject to the jurisdiction of the competent courts in Shtip, Republic of North Macedonia.
Before commencing formal proceedings, the parties should first attempt in good faith to resolve the dispute directly. Mandatory legal rights or jurisdiction rules that cannot lawfully be excluded remain unaffected.
21. Changes to these Terms
We may update these Terms where necessary because of changes to the Service, our business or applicable requirements. For material changes, we will provide reasonable notice where practicable.
Continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.
